# In a SaaS agreement, the data exit clause matters more than liability

When a software or SaaS agreement crosses your desk, the liability language usually gets read hardest.

The clause that decides what actually happens is quieter. It is whatever the contract says about getting your client's data out.

Not whether they own it. Almost every agreement says they do. Whether they can get it, in what format, on what notice, at whose cost, and whether anyone has ever done it. A right to data that exists only as an export button nobody has tested is a right in the way a fire exit chained shut is an exit.

The related questions: who holds the credentials to the hosting account, what happens to the running system during a termination notice period, and whether termination assistance is priced or left to goodwill.

None of that is legal work exactly. It is technical work sitting inside a legal document, which is why it often gets read by nobody.

Worth having someone read that half before your client signs, rather than while they are trying to leave.
